These Terms of Service (“Terms”) govern your access to and use of Smartly Infra, Smartly Labs websites, applications, contributor systems, intelligence tracks, evaluation environments, deployment infrastructure, operational workflows, datasets, and related services (collectively, the “Services”) operated by Smartly Ventures, Inc., a Delaware corporation (“Smartly,” “we,” “our,” or “us”).
By accessing or using the Services, you agree to be bound by these Terms.
You must be at least 18 years old or the age of majority in your jurisdiction to use the Services.
Access may be granted through Smartly contributor programs, operational tracks, intelligence programs, community initiatives, partner programs, university programs, and related activities, including but not limited to GirlScript Summer of Code (GSSoC).
You are responsible for maintaining the confidentiality of your account credentials.
Smartly provides operational intelligence infrastructure, contributor workflows, deployment systems, evaluation environments, localization systems, intelligence tracks, datasets, and related tools intended to improve AI systems and operational processes.
The Services may be modified, updated, suspended, or discontinued at any time.
You agree to:
Smartly may suspend, restrict, or terminate accounts at its sole discretion.
Users may participate in workflow evaluations, intelligence tracks, localization programs, deployment reviews, operational validation, contributor programs, feedback systems, research initiatives, dataset creation, and model evaluation activities.
Participation does not create an employment relationship, contractor relationship, partnership, agency relationship, joint venture, equity interest, investment opportunity, or entitlement to compensation unless expressly agreed in writing by Smartly.
Participation in Smartly programs, including GSSoC-related activities, does not guarantee compensation, employment, future engagement, grants, funding, investment, or other benefits.
Smartly may provide credits, points, reputation scores, contributor rankings, badges, and leaderboards. These mechanisms are provided solely for platform functionality.
Credits and reputation scores are not currency, securities, or financial instruments. They do not represent ownership and have no guaranteed cash value. Smartly may modify, revoke, suspend, reset, or discontinue them at any time.
Users retain ownership of any pre-existing intellectual property submitted to the Services.
To the maximum extent permitted by law, contributors hereby assign to Smartly all rights, title, and interest in Contributor Work Product created through Smartly operational programs, intelligence tracks, contributor workflows, deployment systems, evaluation environments, localization systems, and related platform activities.
Contributor Work Product includes: evaluations, annotations, labels, ratings, translations, workflow submissions, prompts, feedback, corrections, reviews, metadata, operational signals, validation results, and contributor-generated content.
To the extent such assignment is not effective under applicable law, contributors grant Smartly a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, analyze, commercialize, create derivative works from, and otherwise exploit Contributor Work Product for any lawful business purpose.
No additional approval or compensation is required unless expressly agreed in writing by Smartly.
Smartly exclusively owns all rights, title, and interest in operational intelligence, deployment intelligence, workflow analytics, contributor analytics, evaluation outputs, derived datasets, aggregate platform data, benchmarks, localization outputs, metadata, model evaluation results, operational memory systems, synthetic datasets, and derived intelligence assets.
Smartly may aggregate, transform, analyze, enrich, commercialize, license, distribute, sell, or otherwise utilize such assets as part of its products, infrastructure, services, datasets, research, and commercial offerings.
Contributors shall have no ownership claim, royalty interest, revenue share, or proprietary interest in any derived datasets, operational intelligence assets, model improvements, or commercial products unless expressly agreed in writing.
You may not:
The Services may include AI-generated outputs. AI-generated outputs may contain inaccuracies, omissions, or errors. Users are responsible for independently evaluating outputs before relying upon them. Smartly makes no guarantees regarding the accuracy, completeness, or suitability of AI-generated content.
Users may receive access to non-public information. You agree not to disclose confidential information, workflows, datasets, infrastructure details, evaluation systems, or operational information without written authorization from Smartly.
The Services, software, infrastructure, trademarks, logos, workflows, content, designs, and related technology are owned by Smartly or its licensors. No rights are granted except as expressly provided in these Terms.
Users may not access or use the Services in violation of United States export control laws, sanctions laws, or applicable regulations.
Smartly may suspend or terminate access at any time. Upon termination, all access rights immediately cease.
Sections relating to intellectual property, contributor licenses, dataset ownership, liability limitations, dispute resolution, and confidentiality shall survive termination.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SMARTLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
SMARTLY'S TOTAL LIABILITY SHALL NOT EXCEED USD $100 OR THE AMOUNT PAID BY YOU TO SMARTLY DURING THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.
Any dispute arising out of or relating to these Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
Users agree that disputes shall be resolved through binding arbitration, except where prohibited by law. Users waive any right to participate in class actions, class arbitrations, or representative proceedings.
Nothing in this section prevents Smartly from seeking injunctive relief to protect intellectual property, confidential information, or platform security.
Smartly may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
